9) OWNERSHIP. Thisisalicenseagreementandnotanagreementforsale.Youacknowledgeandagreethatthe

Programconstitutestradesecretsand/orcopyrightedmaterialofEnterasysand/oritssuppliers.Youagreetoimplement

reasonablesecuritymeasurestoprotectsuchtradesecretsandcopyrightedmaterial.Allright,titleandinterestin

andtothe

ProgramshallremainwithEnterasysand/oritssuppliers.AllrightsnotspecificallygrantedtoYoushallbereservedto

Enterasys.

10) ENFORCEMENT. YouacknowledgeandagreethatanybreachofSections2,4,or9ofthisAgreementbyYoumay

causeEnterasysirreparabledamageforwhichrecoveryof

moneydamageswouldbeinadequate,andthatEnterasysmaybe

entitledtoseektimelyinjunctiverelieftoprotectEnterasys’rightsunderthisAgreementinadditiontoanyandallremedies

availableatlaw.

11) ASSIGNMENT.Youmaynotassign,transferorsublicensethisAgreementoranyofYourrightsorobligations

under

thisAgreement,exceptthatYoumayassignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallofYour

stockorassets.EnterasysmayassignthisAgreementinitssolediscretion.ThisAgreementshallbebindinguponandinureto

thebenefitoftheparties,theirlegalrepresentatives,

permittedtransferees,successorsandassignsaspermittedbythis

Agreement.Anyattemptedassignment,transferorsublicenseinviolationofthetermsofthisAgreementshallbevoidanda

breachofthisAgreement.

12) WAIVER. AwaiverbyEnterasysofabreachofanyofthetermsandconditionsofthisAgreement

mustbeinwriting

andwillnotbeconstruedasawaiverofanysubsequentbreachofsuchtermorcondition.Enterasys’failuretoenforceaterm

uponYourbreachofsuchtermshallnotbeconstruedasawaiverofYourbreachorpreventenforcementonanyotheroccasion.

13) SEVERABILITY.

IntheeventanyprovisionofthisAgreementisfoundtobeinvalid,illegalorunenforceable,the

validity,legalityandenforceabilityofanyoftheremainingprovisionsshallnotinanywaybeaffectedorimpairedthereby,

andthatprovisionshallbereformed,construedandenforcedtothemaximumextentpermissible.

Anysuchinvalidity,

illegalityorunenforceabilityinanyjurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovisioninany

otherjurisdiction.

14) TERMINATION. EnterasysmayterminatethisAgreementimmediatelyuponYourbreachofanyofthetermsand

conditionsofthisAgreement.Uponanysuchtermination,Youshallimmediatelycease

alluseoftheProgramandshallreturn

toEnterasystheProgramandallcopiesoftheProgram.
